01These terms and who they bind
These terms of service ("Terms") are a legal agreement between you and ALGOCO LTD, trading as algoacquisition, company number 16592736, registered office 124-128 City Road, London, EC1V 2NX, United Kingdom ("algoacquisition", "we", "us", "our"). They govern your use of algoacquisition.ai and its subdomains (the "Site"), the content on it, our booking and checkout flows, and the services we sell through the Site, including the Solo plan.
By using the Site, booking a call, or purchasing a plan you confirm that you have read these Terms, that you accept them, that you are at least 18, and that you are acting in the course of a business or profession and have authority to bind the business you represent. We sell to businesses. Where a consumer protection law nevertheless applies to you and cannot be excluded, nothing in these Terms limits those rights.
Clients on our Core and Scale engagements sign a separate written Service Agreement. Where that agreement and these Terms conflict, the Service Agreement wins for that engagement. These Terms still govern your use of the Site and anything the Service Agreement does not cover.
02What we provide
We operate an outbound client-acquisition service. Depending on the plan, this includes building target lists, writing and testing messaging, sending outreach on LinkedIn and by email from profiles we provide or that you give us access to, handling replies, calling interested leads, and booking meetings onto your calendar. Specific inclusions for each plan are described on the Site at the time of purchase or in your Service Agreement.
We may change how we deliver the service, including the tools and platforms we use, provided the substance of what you bought is maintained. We may decline or discontinue work for any market, offer or targeting that we judge to be unlawful, contrary to platform rules, misleading, or unlikely to perform, and will tell you if we do.
Solo is a self-serve plan purchased through our checkout partner, Whop. The plan description on the Site at the time of purchase, these Terms, and the checkout confirmation together form the contract for Solo. Solo does not include any results guarantee.
03Results, guarantees and what we do not promise
Outbound results depend on your market, offer, pricing, reputation, sales process, responsiveness and factors outside anyone's control. Except for a guarantee set out in writing in a signed Service Agreement, and strictly on the terms written there, we make no promise about the number of replies, leads, meetings, show-ups, deals or revenue you will get, and nothing on the Site, in a call, a proposal, a case study, a benchmark or a message from our team creates one.
Figures on the Site and in our content are historical results from specific campaigns or aggregates across many, accurate as at the date stated, and are not a forecast for you. Where a Service Agreement contains a minimum-meetings guarantee, the definitions, conditions, client obligations and remedy in that agreement are the whole of our commitment, and the remedy stated there is your sole and exclusive remedy for a shortfall.
A "meeting", "booked qualified meeting", "interested lead" and similar terms have the meanings given in the applicable Service Agreement or, for Solo, in the plan description. Our records are the record of what was delivered unless shown to be wrong.
04Your obligations
Our service only works with your cooperation. You agree to:
- Give us accurate, complete and current information about your business, offer, target market and any exclusions, and keep it updated;
- Complete onboarding, approve campaigns, and give the access we reasonably need (for example to a LinkedIn profile, calendar, email domain or CRM) promptly, and in any event within the times stated in your plan or Service Agreement;
- Attend meetings we book, respond to leads and to us within one business day, and keep your calendar availability open as agreed;
- Hold all rights needed in any content, lists, logos, names or claims you give us to use, and confirm that none of it is misleading, infringing, defamatory or unlawful;
- Use the leads, conversations and meetings we generate only for your own lawful business purposes, in line with applicable data protection and marketing law, and not resell or redistribute them;
- Comply with the terms of every third-party platform involved, including LinkedIn, and not ask us to do anything that would breach them;
- Not use our services for any regulated, adult, gambling, crypto-asset promotion, multi-level marketing, political, or otherwise restricted purpose without our prior written agreement;
- Keep any credentials we give you confidential and tell us immediately of any unauthorised use.
If you do not meet these obligations, delivery timelines pause, any guarantee is suspended for the period affected, and fees remain payable. We may also suspend or end the service under section 12.
05LinkedIn, email and other platforms
Outreach runs on platforms we do not own or control, including LinkedIn, email providers and telephone networks. Those platforms change their rules, limits and enforcement without notice, and may restrict, suspend or close accounts at their discretion, including accounts that have done nothing wrong.
- Profiles we provide remain our property. We operate them, carry their account risk, and may rotate, replace or retire them at any time. You get no rights in them beyond the service we deliver through them.
- Profiles you give us access to remain yours. You authorise us to act on them within the scope of the plan. We send within limits we consider safe, but we do not guarantee that any platform will not restrict a profile, and we are not liable for any restriction, suspension, closure or loss of connections, data or standing on a platform, however caused, except where directly caused by our breach of these Terms.
- Deliverability, message limits, inbox placement and platform availability are outside our control and are not a basis for refund or claim.
- You are responsible for your own compliance with the terms of any platform you hold an account on.
06Fees, payment and refunds
Fees are as stated at checkout or in your Service Agreement, in the currency stated, exclusive of VAT and other taxes unless we say otherwise. You are responsible for any taxes, bank charges or currency costs on your side.
- Payment timing. Plans are paid in advance. Service starts after cleared payment. Where we invoice, invoices are due on receipt unless stated otherwise.
- Subscriptions. Monthly plans renew automatically at the end of each period until cancelled in line with the plan's minimum term and notice period, as stated at checkout. You can manage or cancel through the checkout provider or by emailing us before the renewal date.
- Refunds. All fees are non-refundable once service has started, except as expressly stated in a signed Service Agreement (for example, the remedy stated under a written minimum-meetings guarantee) or as required by law. Changing your mind, pausing your business, changing your offer, or failing to engage with leads does not entitle you to a refund.
- Pauses. Where a plan allows pausing, the pause fee stated for that plan applies to keep your campaign, data and seats in place.
- Late payment and chargebacks. We may suspend service while any amount is overdue. Overdue sums bear interest at 4% a year above the Bank of England base rate, and we may recover reasonable collection costs. If you raise a chargeback or payment dispute for an amount you owe, we may suspend service immediately, and you agree to reimburse the disputed amount together with any fees charged to us if the dispute is resolved in our favour.
- Price changes. We may change prices for future periods on at least 30 days' notice. Current periods are unaffected.
- Checkout partners. Payments through Whop or Stripe are also subject to their terms. They process your payment; they are not party to the service contract and have no responsibility for it.
07Intellectual property and deliverables
Ours. The Site, our brand, our methods, playbooks, prompts, scripts, sequences, templates, software, tooling, campaign structures, benchmarks, data sets, profiles we provide and all content we create (together, "Our Materials") are owned by us or our licensors and are protected by intellectual property law. Nothing in these Terms transfers any of it to you.
Yours. You keep ownership of your brand, your content and the lists you give us. You grant us a non-exclusive, worldwide, royalty-free licence to use them to deliver the service and, within the limits of section 9, to describe our work.
What you get. On full payment you receive a non-exclusive, non-transferable licence to use the leads, conversations, meeting details and campaign copy delivered to you for your internal business purposes. You may not reproduce, publish, resell, reverse-engineer or build a competing service from Our Materials, nor remove any notices from them.
Feedback. Any suggestions you give us about our services may be used by us without restriction or payment.
Site content. You may view the Site for your own business use. You may not scrape, copy, frame, mirror or republish it, or use it to train machine-learning models, without our written permission. Linking to a page is fine.
08Confidentiality and publicity
Each of us will keep the other's non-public information confidential, use it only for the purposes of our relationship, and protect it with reasonable care. This does not apply to information that is public through no fault of the recipient, already lawfully known, independently developed, or required to be disclosed by law (with notice where allowed). This clause survives for five years after our relationship ends; trade secrets stay protected for as long as they remain trade secrets.
Publicity. We may name you as a client and use your logo in our client lists unless you tell us in writing not to. We will not publish a case study, testimonial, quote, recording or specific results attributed to you without your prior agreement. We may always use anonymised and aggregated data from all engagements in benchmarks and content.
09Acceptable use of the Site
You must not: use the Site for any unlawful purpose; attempt to gain unauthorised access to any part of it or any connected system; introduce malware; interfere with its operation; use bots, scrapers or automated tools on it without permission; impersonate us or anyone else; or submit content that is unlawful, infringing, defamatory or misleading. We may restrict or block access without notice if we suspect misuse.
The Site contains links to and embeds from third-party services. We are not responsible for their content, availability or terms.
10Disclaimers
To the fullest extent permitted by law, the Site, its content and our services are provided "as is" and "as available", and we exclude all conditions, warranties, representations and other terms that might otherwise be implied by statute, common law or custom, including any implied terms of satisfactory quality, fitness for a particular purpose, non-infringement, or that results will be achieved.
We do not warrant that the Site will be uninterrupted, error-free or secure, that content is accurate or current, or that any third-party platform will remain available or permit our activity. Content on the Site, including benchmarks, comparisons with other providers and commentary, is general information, reflects our opinion and data at the date stated, and is not professional advice. Information about other companies is drawn from their public materials and may change.
11Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law of England and Wales. Subject to that:
- No indirect loss. We are not liable, in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for any loss of profit, revenue, sales, business, contracts, opportunity, anticipated savings, goodwill or reputation; loss or corruption of data; loss arising from any third-party platform's actions, including the restriction or closure of any account; or any indirect, special or consequential loss, even if we were told it was possible.
- Cap. Our total aggregate liability to you arising out of or in connection with these Terms, the Site and the services, however arising, is limited to the total fees you actually paid us in the three months immediately before the event giving rise to the claim. For the Site alone, where you have paid nothing, our total liability is £100.
- Guarantee remedy is exclusive. Where a written guarantee applies, the remedy stated in it is your sole and exclusive remedy for a shortfall and counts toward the cap.
- Time limit. Any claim must be brought within 12 months of the event giving rise to it, after which it is waived.
- Your responsibility. You are responsible for the outcomes of your own sales process, your pricing, your claims, your compliance, your use of leads and your treatment of the people we introduce to you.
These limits reflect the price of the service and the allocation of risk between us, and you acknowledge they are reasonable.
12Indemnity
You will defend, indemnify and hold harmless algoacquisition, its directors, staff, contractors and suppliers from and against all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or connected with: (a) any content, list, claim, brand or instruction you give us; (b) your products, services, pricing or conduct toward the leads we introduce; (c) your breach of these Terms, of any platform's terms, or of applicable law, including data protection and marketing law; or (d) any dispute between you and a third party arising from your use of the services. We will notify you of any claim, let you control the defence where appropriate, and cooperate at your cost.
13Suspension and termination
Plans run for the term stated at checkout or in the Service Agreement and renew or end as described there. In addition:
- We may suspend service, in whole or part, immediately where you are in breach, an amount is overdue, a chargeback is raised, we reasonably suspect fraud, abuse or unlawful use, a platform requires it, or continuing would put our accounts, people or other clients at risk. Fees remain payable during suspension caused by you.
- Either of us may terminate immediately on written notice if the other commits a material breach that is not fixed within 14 days of notice, or becomes insolvent.
- On termination you must pay all amounts due to the end of the term or notice period, our licences to each other end except as needed to use delivered work, we may retire any profiles and infrastructure we provided, and we will return or delete your data in line with our privacy policy and any data processing agreement.
- Clauses that by their nature should survive (including fees, intellectual property, confidentiality, disclaimers, liability, indemnity, governing law) survive termination.
14General
- Entire agreement. These Terms, the plan description at checkout, our privacy policy and any signed Service Agreement are the whole agreement between us and replace all earlier discussions. You confirm you have not relied on any statement not set out in them. Nothing limits liability for fraud.
- Changes. We may update these Terms. The date at the top shows the current version. Material changes take effect 14 days after we post them or notify you; your continued use after that is acceptance. Changes do not apply retrospectively to a fixed term already paid for.
- Assignment. You may not transfer your rights or obligations without our written consent. We may assign or subcontract, and remain responsible for our subcontractors.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including platform outages or policy changes, internet failure, strikes, pandemics, war or government action. Payment obligations are not excused.
- Notices. To us: dave@algoacquisition.com or our registered office. To you: the email address on your account. Email notices are effective when sent, unless a bounce is received.
- No waiver, severance. A failure to enforce a right is not a waiver of it. If any part of these Terms is found unenforceable, the rest continues and the part is replaced with the closest enforceable term.
- Third parties. Except for the people indemnified in section 13, no one other than you and us has rights under these Terms, including under the Contracts (Rights of Third Parties) Act 1999.
- Relationship. We are independent contractors. Nothing creates a partnership, agency, joint venture or employment relationship. We have no authority to bind you to any third party and you have none to bind us.
15Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them, the Site or the services (including non-contractual disputes), are governed by the law of England and Wales.
Before starting proceedings, each of us agrees to raise the dispute in writing and to meet (including by video) within 21 days to try to resolve it in good faith. If that fails, the courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief or enforce a judgment in any court with jurisdiction over you. If you are a consumer resident in the UK or EU, you keep the benefit of any mandatory protections and courts of your home country.
Where the law of your location requires it, you may have the right to bring an individual claim in a local small-claims court. Both of us waive any right to a jury trial and to participate in a class or representative action, to the extent such a waiver is enforceable where you are.
